Without making any assumptions about the deliberations of a Board of Directors, we can confidently predict that you will be given company information of many varieties for use in supporting or informing decisions.  As a member of the Board, you will want assurances regarding company information presented to you.

You will need to be concerned about Compliance.  The company has a Compliance Officer whose role is to ensure that data and information are created, disseminated, handled, and destroyed using approved procedures in accordance with the law as well as company policy.  How can you satisfy yourself that this is happening?  What tools will you require to satisfy your responsibilities?

Frequently a Board member will be the first to notice a problem because he or she is free of the cultural filters that sometimes keep an employee from seeing clearly.  You are in the company but not of the company.  For example, an employee is accustomed to receiving a report, reviewing certain portions of it and then filing it.  In too many cases, this is all governed by habit.  What is your role in identifying a problem such as this?
